Legion Equity is an equity fundraising and secondary trading platform. Fund managers (GPs) bring deals to the platform, Legion wraps each deal in a Special Purpose Vehicle (SPV), and investors (LPs) participate via wire, ACH, or USDC. After investing, LPs receive tokenized SPV interests representing their ownership, and can later sell those positions to other qualified investors, with the GP's approval.
Who Legion Equity is for
General Partners (GPs): fund managers and deal leads who source allocations to private companies and want a streamlined way to bring LPs into a deal.
Limited Partners (LPs): accredited investors and qualified buyers looking for curated access to private market deals.
How a deal works
A GP secures allocation to invest in a startup
Legion creates a Delaware LP (limited partnership) — the SPV — for that specific deal
LPs apply to invest, and the GP reviews and approves
Approved LPs send funds via wire, ACH, or USDC to the SPV's bank account
The SPV uses the capital to buy equity in the startup
LPs receive tokenized interests representing their share of the SPV
If an LP wants to sell their position later, they can, with GP approval
When the startup exits, proceeds flow back through the SPV to LPs
What makes Legion Equity different
Curated access. Both GPs and LPs are admitted by invitation or referral. The platform isn't open registration. Quality control is built into the access model.
Same-day settlement. Once a GP approves a secondary trade, the tokenized SPV interest can transfer same-day, rather than taking weeks.
On-chain rails. SPV interests are tokenized for faster settlement and automatic enforcement of transfer restrictions. The tokenization is the mechanism, not the product. You don't need to understand blockchain to use the platform.
Sectors covered. Deals span AI and machine learning, robotics, biotech, crypto-equity startups, and more. GPs bring deals from their areas of expertise.
Legion Equity vs Legion Crypto
Legion runs two separate products. Legion Equity is for private equity in startups via SPVs. Legion Crypto is a token sale platform. They share infrastructure but are distinct products with different regulatory frameworks, tax treatments, and timelines.
